Important commercial notice

These Terms are intended primarily for PPC’s commercial and industrial relationships. Nothing in them is intended to exclude or restrict a right, warranty, remedy or protection that cannot legally be excluded or restricted. If a mandatory law applies to a particular customer or transaction, that law prevails to the extent required.

1. Scope, Acceptance & Contract Documents

These Terms & Conditions govern use of this website. The commercial provisions below also apply to quotations, purchase orders, work authorizations and services supplied by Professional Powder Coating Ltd. (“PPC”) when these Terms are referenced, incorporated, linked or otherwise made available in connection with the transaction.

A commercial order may be formed when a customer accepts a PPC quotation, issues a purchase order accepted by PPC, provides written authorization to proceed, delivers parts or materials to PPC for processing after receiving PPC’s quotation or order acknowledgement, or otherwise instructs PPC to begin work.

If PPC and the customer have a separately signed agreement that expressly conflicts with these Terms, that signed agreement controls only to the extent of the conflict. Project-specific PPC quotations, approved drawings, specifications, written change orders and order acknowledgements form part of the contract. Customer boilerplate, purchase-order terms or portal terms do not amend PPC’s terms unless PPC expressly agrees to the specific change in a writing signed by an authorized PPC representative.

2. Quotations, Pricing & Estimates

Quotations are based on the information, drawings, samples, quantities, substrate descriptions, specifications, packaging assumptions and schedules available when quoted. Unless a quotation states otherwise, pricing may be revised if any of those inputs change or prove inaccurate.

Additional charges may apply for rework not caused by PPC, stripping, unusual contamination, unexpected masking, special handling, expedited work, extraordinary inspection, testing, packaging, storage, freight, customs, duties, taxes, customer-caused delay, engineering changes or other work outside the quoted scope.

A quotation is not an engineering certification, performance guarantee or representation that the specified coating system is suitable for every service environment unless PPC expressly accepts that responsibility in writing.

3. Customer Specifications & Responsibilities

The customer is responsible for providing complete and accurate drawings, specifications, revisions, material identification, critical dimensions, masking requirements, cosmetic requirements, end-use conditions, regulatory requirements and any other information necessary to process the parts correctly.

The customer remains responsible for product design, substrate selection, engineering, fitness for intended use, assembly tolerances, service environment and determining whether a coating system is appropriate for the finished product, except to the extent PPC expressly assumes a specific responsibility in writing.

The customer must identify heat-sensitive components, sealed cavities, trapped fluids, lubricants, adhesives, solder, brazing, assemblies, dissimilar materials, pressure-containing parts, castings, galvanized surfaces or other conditions that may react adversely to cleaning, blasting, pretreatment, curing temperatures or coating processes.

4. Substrate Condition, Hidden Defects & Process Risk

Industrial finishing performance depends heavily on the incoming substrate. PPC is not responsible for defects or failures caused by pre-existing rust, mill scale, laser scale, weld spatter, porosity, silicone, oil, grease, drawing compounds, salts, prior coatings, corrosion, oxidation, metallurgical defects, improper welding, trapped contaminants, inconsistent alloys or other conditions not reasonably detectable before processing.

Blasting, pretreatment, baking and curing can reveal or aggravate hidden substrate conditions. Castings, galvanized parts, porous welds and contaminated metals may outgas, pinhole, blister or exhibit surface irregularities. Thin, stressed, welded or heat-sensitive parts may distort. Unless PPC expressly assumes responsibility in writing, those inherent material and design risks remain with the customer.

PPC may stop work and request instructions if incoming parts appear unsuitable, unsafe or materially different from the quoted condition. Reasonable work already performed and costs incurred remain chargeable.

5. Colour, Gloss, Texture & Cosmetic Variation

Powder coating and industrial finishing are manufacturing processes, not laboratory-perfect reproductions. Reasonable variation may occur between batches, substrates, part geometry, film build, cure profile, viewing angle, lighting conditions and powder lots.

Colour references, digital images, monitor displays and small samples are approximate unless a signed master sample, measurable tolerance or specific acceptance standard is expressly incorporated into the order. Metallics, translucents, textures, hammertones and specialty finishes may show greater natural variation.

Visible surfaces, Class A surfaces, acceptable touch-up, rack/contact marks and special cosmetic requirements must be identified before production. Areas used for hanging, grounding, fixturing or electrical contact may show witness marks unless otherwise agreed.

6. Masking, Threads, Fits & Critical Dimensions

The customer must clearly identify all surfaces, threads, holes, bores, electrical contacts, grounding points, mating surfaces and dimensional features that must remain coating-free or within a specific film-build tolerance.

Unless specifically quoted, PPC does not guarantee post-coating fit, thread engagement or dimensional compliance on features affected by normal coating build. Thread chasing, plug removal, secondary cleaning, precision masking and special inspection are additional operations when required.

7. Samples, First Articles & Production Approval

PPC may recommend a sample, test panel or first-article approval before full production, especially for new substrates, new coating systems, critical appearance requirements or uncertain service conditions. Customer approval authorizes PPC to proceed on that basis.

A sample or first article demonstrates the approved condition of that sample; it does not eliminate normal production variation or undisclosed substrate differences in later parts.

8. Specifications, Testing & Standards

PPC will perform testing, inspection, documentation or certification only to the standards and acceptance criteria expressly identified in the quotation or order acknowledgement. References to industry standards on PPC’s website describe capabilities and do not automatically incorporate every requirement of those standards into every order.

Accelerated laboratory tests, including corrosion, humidity, UV, adhesion, cure or chemical-resistance testing, are quality and comparison tools. They do not by themselves establish a guaranteed field-service life unless PPC expressly provides a written service-life warranty.

Customer-required third-party testing, special reports, retained samples, certificates or traceability beyond PPC’s standard process must be requested before production and may involve additional charges and lead time.

9. Scheduling, Lead Times & Delivery

Quoted lead times and delivery dates are good-faith estimates unless PPC expressly agrees in writing that a date is guaranteed. Production timing may be affected by material availability, customer approvals, incoming part condition, quantity changes, rework, testing, carrier performance and events beyond PPC’s reasonable control.

PPC is not liable for customer production-line downtime, project delay, liquidated damages, backcharges or downstream schedule impacts unless PPC expressly accepts that liability in a signed writing.

10. Packaging, Freight, Risk of Loss & Storage

Packaging and shipping will be performed as quoted or according to reasonable commercial practice. Special packaging, export packaging, crating, protective film, separators, moisture control, customer-specific labels or reusable racks must be identified in advance.

Where transportation is arranged by or for the customer, carrier damage and transit delay are subject to the applicable carrier terms. Risk allocation, freight terms and transfer of title are governed by the quotation, order acknowledgement or applicable shipping term.

Completed parts should be collected promptly after notice of readiness. PPC may charge reasonable storage, handling or re-delivery costs after written notice where completed goods remain uncollected beyond the agreed pickup period.

11. Inspection, Acceptance & Claims

Customers should inspect completed work promptly after delivery or pickup. Any claim should identify the affected parts, purchase order, alleged nonconformity, quantity and supporting photographs or inspection data and should be submitted before the parts are altered, installed, assembled, resold or subjected to additional processing whenever reasonably possible.

PPC must be given a reasonable opportunity to inspect claimed nonconforming work and, where appropriate, to rework or replace the coating service before third-party rework is undertaken. Unauthorized third-party rework may impair PPC’s ability to evaluate the claim.

Acceptance, installation, further processing or use of parts with a known nonconformity may limit available remedies to the extent permitted by law.

12. Limited Workmanship Warranty

Unless a different written warranty is provided for a specific project, PPC warrants that its services will be performed in a professional and workmanlike manner and materially in accordance with the expressly agreed process specification at the time the work leaves PPC’s control.

This warranty does not cover failures caused by substrate condition, design, fabrication defects, customer specifications, field damage, improper storage, installation, abuse, impact, abrasion, chemical exposure outside the approved specification, immersion, UV or weather exposure beyond the selected coating system, cut edges, field welding, drilling, machining, repair by others, improper maintenance or normal wear.

To the maximum extent permitted by applicable law, PPC’s obligation for a valid workmanship claim is limited, at PPC’s option, to reperforming the affected service, repairing the coating, providing a credit for the affected PPC service or refunding the amount paid to PPC for that affected service. PPC does not warrant the underlying customer part or the finished assembly as a whole.

13. Payment, Credit & Taxes

Payment terms are those stated on PPC’s quotation, order acknowledgement or invoice. The customer is responsible for applicable taxes, duties, brokerage, freight and other transaction charges unless expressly included.

PPC may require deposits, progress payments, credit approval or payment before release of goods. If an account becomes overdue or PPC reasonably believes payment is at risk, PPC may suspend work, place future orders on hold, revoke credit terms or require alternate payment arrangements, subject to applicable law.

Overdue balances may accrue interest or service charges only as stated in the applicable commercial document and to the extent permitted by law. The customer is responsible for reasonable collection costs where legally recoverable.

14. Changes, Holds & Cancellation

Changes to quantity, specification, colour, masking, schedule, packaging, testing or other scope may require revised pricing and lead time. PPC is not required to implement a change until it has been accepted in writing.

If an order is placed on hold or cancelled after work, purchasing or scheduling has begun, the customer remains responsible for completed work, committed materials, non-cancellable costs, reasonable handling and other costs incurred because of the change or cancellation.

15. Customer-Owned Parts, Tooling & Materials

Customer-owned parts, racks, fixtures, tooling, samples and materials remain customer property. PPC will exercise reasonable care but is not an insurer of customer property.

Where the value of customer-supplied parts is unusually high relative to the coating charge, the customer must disclose that value before work begins so the parties can agree on appropriate handling, insurance and risk allocation. PPC does not accept consequential exposure merely because high-value parts are delivered for processing.

16. Limitation of Liability

To the maximum extent permitted by applicable law, PPC is not liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost production, loss of use, loss of contract, recall costs, removal or installation costs, field labour, expedited freight, liquidated damages or business interruption, regardless of the theory of liability.

To the maximum extent permitted by applicable law, PPC’s aggregate liability arising from a particular order is limited to the amount paid or payable to PPC for the specific services giving rise to the claim, except to the extent a greater liability cannot lawfully be excluded or limited.

Nothing in these Terms excludes liability that cannot legally be excluded, and no provision is intended to waive mandatory statutory rights that apply to a transaction.

17. Customer Indemnity

The customer will indemnify and hold PPC harmless, to the extent permitted by law, from third-party claims arising from the customer’s product design, customer-supplied specifications, infringement contained in customer-provided designs, undisclosed hazardous materials, unlawful end use, or the customer’s modification, installation or use of the finished parts, except to the extent the claim is caused by PPC’s own breach or other liability that cannot lawfully be excluded.

18. Hazardous, Contaminated or Regulated Materials

The customer must disclose hazardous coatings, residues, chemicals, lead, cadmium, chromates, radioactive contamination, biological contamination or other regulated substances that may be present on or in customer parts before delivery to PPC.

PPC may refuse, quarantine or stop work on materials that present an undisclosed health, safety, environmental or regulatory risk. The customer is responsible for reasonable costs arising from undisclosed contamination, including testing, handling, cleanup and lawful disposal, to the extent permitted by law.

19. Legal, Regulatory & End-Use Compliance

Each party is responsible for laws and regulations applicable to its own operations. The customer is responsible for identifying any project-specific regulatory, export-control, controlled-goods, defence, nuclear, aerospace, food-contact, electrical, architectural or other compliance requirement before ordering.

PPC does not represent that a particular certification, approval, registration, country-of-origin status or regulatory qualification applies to an order unless PPC expressly confirms that requirement in writing for that order.

20. Intellectual Property & Confidential Information

Each party retains ownership of its pre-existing intellectual property. Customer drawings, specifications and confidential project information remain the customer’s property, subject to PPC’s right to use them as necessary to quote, process, inspect and administer the work.

PPC retains ownership of its proprietary processes, methods, know-how, tooling concepts, process parameters, templates, software, forms and improvements unless expressly assigned in a signed agreement.

Neither party may use the other party’s trademarks, confidential drawings, photographs or non-public project information for publicity without permission, except where information is already public or disclosure is required by law.

21. Force Majeure

PPC is not responsible for delay or failure caused by events beyond its reasonable control, including fire, flood, severe weather, utility failure, equipment breakdown despite reasonable maintenance, cyber incident, labour disruption, epidemic, war, terrorism, civil disturbance, government action, transportation disruption, supplier failure, raw-material shortage or similar events. PPC will use commercially reasonable efforts to resume affected performance.

22. Website Use

Website content is provided for general business information. PPC may update capabilities, processes, technical content, images and availability without notice. Website content is not a substitute for a project-specific quotation, engineering review or written specification.

Users may not misuse the website, interfere with security, attempt unauthorized access, scrape or reproduce substantial portions of the site for a competing commercial purpose, introduce malicious code, impersonate another person or use forms to transmit unlawful or abusive content.

Links to third-party sites are provided for convenience. PPC is not responsible for third-party content, security, availability or privacy practices.

23. Privacy & Electronic Communications

Information submitted through PPC’s website, RFQ tools, supplier forms and other channels is handled in accordance with PPC’s Privacy Policy and applicable law. Business communications may be retained as part of PPC’s quotation, quality, customer-service, security and recordkeeping processes.

By providing business contact information and requesting a quotation or other response, the user authorizes PPC to communicate regarding that request. Marketing communications, where applicable, remain subject to applicable consent and unsubscribe requirements.

24. Governing Law & Disputes

Unless a separately signed agreement provides otherwise, these Terms and commercial transactions with PPC are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Subject to any mandatory statutory right or jurisdiction that cannot be varied by contract, the parties attorn to the courts located in Ontario for disputes arising from these Terms or the applicable order.

Before commencing formal proceedings, the parties are encouraged to have senior representatives attempt in good faith to resolve the dispute commercially.

25. General

If any provision is held invalid or unenforceable, the remaining provisions continue in effect and the affected provision will be enforced to the maximum extent permitted by law. Failure to enforce a provision is not a waiver. Headings are for convenience only.

The customer may not assign an order or these Terms without PPC’s prior written consent, except as part of a bona fide corporate reorganization or sale of substantially all relevant business assets where the assignee assumes the obligations. PPC may use qualified subcontractors where appropriate unless the applicable order expressly prohibits subcontracting.

Electronic signatures, electronic acceptance, email approvals and electronic records may be used to form and administer transactions to the extent permitted by law.

PPC may update these website Terms from time to time. Changes apply prospectively and do not retroactively alter a previously formed order unless the parties agree.
